The terms and conditions that govern your use of the Cypraon website and the engagement of our consulting services.

These Terms of Service ("Terms") govern your use of the website operated by Cypraon Private Limited ("Cypraon") at www.cypraon.com, and the consulting services we provide.
Cypraon Private Limited is incorporated in India under CIN U62099GJ2026PTC177568, registered at Ahmedabad, Gujarat. These Terms are governed by the laws of the Republic of India.
1.1 Agreement to Terms
By accessing or using the Cypraon Private Limited website (www.cypraon.com) or engaging our consulting services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.
1.2 Eligibility
You must be at least 18 years of age and have the legal authority to enter into binding agreements on behalf of yourself or the organisation you represent.
1.3 Updates to Terms
We reserve the right to update these Terms of Service at any time. Continued use of the website or services following the posting of revised terms constitutes acceptance of those changes.
2.1 Nature of Services
Cypraon provides IT consulting, technology advisory, enterprise architecture, and related professional services. All specific engagements are governed by a separate Scope of Work or Consulting Agreement, which takes precedence over these general Terms of Service in the event of any conflict.
2.2 Independent Contractor
Cypraon operates as an independent contractor. Nothing in these terms creates a partnership, joint venture, agency, employment, or franchise relationship between Cypraon and the client.
2.3 No Guarantee of Outcome
While we apply professional expertise and best practices to every engagement, we cannot and do not guarantee specific business outcomes. Our recommendations are based on the information available at the time of engagement.
2.4 Client Responsibilities
Clients are responsible for providing accurate and complete information, maintaining timely communication, and implementing recommendations in good faith.
3.1 Website Content
All content on www.cypraon.com is the property of Cypraon Private Limited and is protected under applicable Indian intellectual property laws. You may not reproduce, distribute, or commercially exploit any content without our express written permission.
3.2 Deliverables
Intellectual property ownership of engagement deliverables is governed by the specific Consulting Agreement. In the absence of a written agreement, all deliverables remain the intellectual property of Cypraon until full payment has been received.
3.3 Client Materials
Any data, documents, or materials provided by the client to Cypraon remain the property of the client. We use these materials solely to deliver the agreed services.
4.1 Mutual Confidentiality
Both parties acknowledge that in the course of the engagement, they may receive confidential information belonging to the other party. Both parties agree to hold such information in strict confidence and not disclose it to third parties without prior written consent.
4.2 Non-Disclosure Agreement
All client engagements are protected by a formal Non-Disclosure Agreement (NDA) executed prior to commencement of any engagement.
4.3 Exceptions
Confidentiality obligations do not apply to information that: (a) was already in the public domain; (b) becomes publicly known through no fault of the receiving party; (c) is required to be disclosed by law or court order.
5.1 Disclaimer of Warranties
Our website and any information published on it are provided on an "as is" basis without any warranty, express or implied.
5.2 Limitation of Liability
To the maximum extent permitted by applicable law, Cypraon shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services.
5.3 Maximum Liability
Our total aggregate liability to any client shall not exceed the total fees paid by that client to Cypraon in the three months preceding the event giving rise to the claim.
6.1 Fees
Consulting fees are agreed upon in writing prior to the commencement of any engagement and are specified in the Scope of Work or Consulting Agreement.
6.2 Payment Schedule
Unless otherwise agreed in writing, payment terms are: 50% advance upon signing, with the remaining 50% due upon delivery of final deliverables.
6.3 Late Payment
Invoices unpaid beyond the agreed due date may attract interest at 1.5% per month on the outstanding amount. Cypraon reserves the right to suspend services for accounts with overdue invoices.
6.4 GST
All fees are exclusive of Goods and Services Tax (GST) unless otherwise stated. GST will be charged at the applicable rate in accordance with Indian tax law.
These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any dispute shall first be subject to good-faith negotiation between the parties for a period of 30 days.
If a dispute cannot be resolved through negotiation, it shall be referred to arbitration in Ahmedabad under the Arbitration and Conciliation Act, 1996, conducted in English. The decision of the arbitrator shall be final and binding.
